Buying a Nashville Airbnb Through a MIPA: What Actually Changes?
How a Nashville Airbnb membership interest purchase agreement works, what an LLC buyer acquires, and why STR permit continuity needs review.
A membership interest purchase agreement, or MIPA, can be an important structure when buying an operating Nashville short-term rental held in an LLC. Instead of buying the property's deed directly, a buyer purchases membership interests in the entity that already owns it. That changes the transaction—but does not automatically solve permit, financing, liability, or booking-transfer questions.
For Nashville STR buyers, the crucial distinction is between what the purchase agreement transfers and what the city or a booking platform recognizes afterward.
Deed sale versus membership-interest sale
In a conventional real estate purchase, the seller conveys the property to the buyer. Under a MIPA, the buyer acquires ownership interests in an existing LLC, potentially leaving the real estate titled in the same entity's name.
That can matter when the LLC is the original holder of an existing STR permit. But it also means the buyer is purchasing an entity with a history—not just a building. Contracts, payables, tax filings, legal disputes, bank arrangements, and contingent liabilities may sit inside the entity.
A buyer's diligence must therefore reach beyond title, property condition and a revenue report. Have an attorney and CPA review the organizational documents, tax classification, liabilities, contracts and purchase structure.
What Metro's NOO non-conveyance summary actually says
Metro's Not Owner Occupied Non-Conveyance Summary includes a significant distinction: for certain NOO permits issued to an LLC that owned the permitted property, Metro states that LLC membership can change without affecting the permit, because the original LLC remains the property owner and permit holder.
The same document describes different outcomes for permits originally held by an individual and situations where the original permit holder ceases to be associated with a single-member LLC. There are also date-specific distinctions involving permits issued before May 17, 2018.
That is precisely why blanket claims are dangerous. "MIPA protects the permit" is too broad. So is "all permits disappear when LLC interests change." The individual permit history and entity structure are what matter. Request the permit, deed, historical ownership documents, LLC records and written property-specific confirmation from Metro or counsel before relying on a particular result. Metro's general operations page continues to state that STR permits are not transferable.
Underwrite the entity, not just the property
An established Airbnb may have reassuring photographs, guest reviews and monthly revenue. Those do not tell you whether the LLC has unpaid taxes, a disputed management agreement, outstanding vendor invoices, pending claims, or an obligation involving another property.
At minimum, investigate its tax returns and financial records, bank balances, debt, contracts, insurance, property title, member consents and known liabilities. The purchase agreement should specify the interest being bought, liabilities and representations, closing conditions, and remedies for inaccurate disclosures.
A real estate agent can help collect and compare the operational documentation, but this is attorney-and-CPA territory for the entity questions.
Financing may look different
A conventional mortgage underwritten as a direct property purchase may not accommodate an LLC membership acquisition. Buyers often investigate commercial, non-QM, DSCR or private-bank lending options, depending on the lender, borrower, collateral, property type and exact legal structure. A lender's willingness to finance the real estate is not the same as approval to fund an equity purchase.
Before negotiating earnest money and contingency deadlines, get the lender to approve the actual transaction structure, not a simplified description of it as an Airbnb purchase. Our financing guide covers the questions to ask.
The Airbnb account is not part of the LLC membership certificate
Even if the ownership entity remains, platform rights require separate confirmation. Airbnb says host accounts cannot simply be transferred to another host, and reservations cannot be moved between different host accounts. A buyer should obtain specific written information about any management relationship, co-host access, bookings, deposits and platform obligations. See our bookings and reviews article.
A useful MIPA closing checklist
Identify the precise LLC membership interests, permit holder and issue history, chain of title, lender approval, operating liabilities, tax responsibilities, management transition, included furnishings, outstanding bookings, and who will control each account after closing. Don't let the parties' familiarity with the term MIPA substitute for a documented plan.
